VIDOPE – CHARGES POLICY

This Charges Policy ("Policy") explains how ViDope ("ViDope", "the Platform") calculates, authorises and invoices what it charges its clients, and how creators are paid. The Platform is owned and operated by RIBIETC LLC, a Limited Liability Company registered in the State of New Mexico, USA.

By contracting a campaign and authorising the charge, you accept this Policy.

1. What you are charged

ViDope charges two things, and only two: a one-off setup fee per campaign and, after that, a monthly amount calculated on the videos' real views.

What ViDope does NOT charge:

• no fixed monthly fee
• no minimum spend
• no lock-in period
• no balance or credit to be bought up front
• no fee for opening or keeping the account
• no amount for months with no active videos
• no cancellation fee
• no penalty for withdrawing the payment authorisation

All amounts are in euros. VAT is applied where it is due and is always shown separately, both before you pay and on the invoice.

The monthly amount is not an estimate charged in advance. It is calculated once the month has ended, on views already measured, which means that:

• a weaker month costs less
• a month with no measurable videos produces no charge
• a video the creator never delivered is not measured and not charged
• nothing is paid up front that would later need refunding
• every charge can be checked against the figures behind it

2. The campaign setup

The setup is a one-off payment that gets the campaign running. It covers the work done before anything starts being measured:

• selecting videos and creators
• preparing the copy and the brief for each placement
• coordinating with the creators through to publication
• setting up the monthly measurement

The setup amount is shown to you before you pay, with VAT broken out, and does not change afterwards.

Paying the setup saves your payment method with PayPal and authorises the monthly charge described in this Policy. Without that authorisation no later charge can be executed.

3. The payment authorisation

3.1. The authorisation is granted when you pay the setup, inside PayPal's secure environment, and is recorded together with its date.

3.2. That authorisation allows variable amounts to be charged, because each month's amount depends on the measured views. What it does not allow is:

• charging before a month is closed and measured
• charging an amount other than the one calculated for that month
• charging the same month twice

3.3. You can withdraw the authorisation at any time from Billing. Once withdrawn, no future charge is executed; any months already measured and still pending will be raised with you so they can be settled.

3.4. A chargeback on an already invoiced charge may result in account suspension and cancellation of active services. Before it comes to that, every charge has its breakdown and can be reviewed.

4. How a month is measured

Each video in the campaign is measured once a month. The figure used is the difference in views between two measurements:

• the first measurement of the month being closed
• the first measurement of the following month
• the difference between the two is that month's views

The following are not counted:

• views from before the campaign's start date
• videos that were never published
• videos from a creator who did not deliver
• months where no reliable measurement could be taken

If a measurement is missing for a month, that month is marked as incomplete and is not charged automatically: a person reviews it before anything happens.

5. How the amount is calculated

A video's amount for a month is calculated like this: that month's views, divided by one thousand, multiplied by a price per thousand views (CPM) in euros.

Each video's CPM is derived from the advertising value of the keywords that video competes on. It is a ViDope estimate, not a rate negotiated video by video, and therefore:

• it is the same formula for every client
• it is not set by the creator by hand
• it does not depend on the channel's monetization status
• it can vary between months if the value of those keywords changes
• it is applied to views that have already happened, never to forecasts
• it is stored alongside the charge, so it can be reconstructed later

Before contracting you are shown a monthly estimate. That estimate uses exactly the same formula as the charge, applied to the views the video is expected to get.

An estimate is not a committed amount: it is a forecast. What is charged is always what was measured.

VAT is applied to the calculated amount according to your tax domicile and the details you have provided.

Every charge is invoiced with:

• the taxable base and VAT shown separately
• the period it corresponds to
• the breakdown of the videos that make it up

6. What the creator is paid

The creator receives a percentage of what the client paid for their video that month.

6.1. The percentage is set in the Platform's configuration and is the same for every creator within the same model.

6.2. It is recalculated every month, because the month's amount changes with the views.

6.3. A creator only becomes entitled to payment once the client has paid. A month that is calculated but not charged pays nobody.

6.4. The same month cannot create the entitlement twice for the same order.

6.5. To be paid, the creator must have a valid PayPal account configured. Payouts are issued through PayPal.

• if the creator does not deliver the video, it is not measured and produces neither charge nor payout
• if the creator delivers late, measurement starts from publication
• if the video is taken down early, it stops being measured from that moment

ViDope may reassign an order to another creator if the first one does not deliver. In that case the split is recalculated with the configuration in force at the time of reassignment.

Amounts shown to the creator before a charge happens are estimates based on expected performance; the final amount is the one from the measured month.

7. Refunds

Since nothing is charged in advance except the setup, most situations that would require a refund in other models simply produce no charge here.

The setup, once the work it covers has started. Correctly calculated monthly charges are not refunded either, even if the campaign's outcome falls short of your expectations, because they correspond to views that genuinely happened. Specifically:

• a month that performed below the estimate
• a video that performed worse than another in the same campaign
• a campaign that did not generate the expected sales
• changes in your brand strategy after contracting
• voluntarily taking down a video that was published and already measured
• VAT, which is paid over to the relevant tax authority

If you believe a charge is wrong, write to us before starting a chargeback: every charge keeps the detail of the videos and views behind it, and reviewing it usually takes minutes.

8. Closing the account

You can request closure at any time. When you do:

• active services must be completed or cancelled by agreement
• no future charge is executed
• months already measured and not charged are raised with you so they can be settled

Issued invoices are retained for as long as tax regulations require, whether or not the account still exists.

9. What this relationship is not

The setup payment and the monthly charges pay for a service. They do not constitute or represent:

• a stake in ViDope or in RIBIETC LLC
• a right over the Platform's future revenue
• a financial instrument, a security or an investment
• a deposit, a balance or a credit in your favour

ViDope does not hold client funds: charges are executed through PayPal and creator payouts are issued the same way.

10. Changes to this Policy

ViDope may amend this Policy. Where a change affects how an amount is calculated or charged:

• notice will be given before it takes effect
• it will not apply retroactively to months already measured
• it will not apply to months already invoiced
• you may withdraw the payment authorisation if you do not agree
• the previous version will remain accessible
• the last updated date will be stated

Changes that do not affect amounts — wording, clarifications, corrections — may be published directly.

11. Compliance

ViDope may suspend charges, payouts or the account where necessary to comply with applicable regulation, in particular:

• tax and invoicing obligations
• anti-money-laundering rules
• requests from competent authorities
• payment provider rules, including PayPal's
• the terms of the platforms where the videos are published

To issue valid invoices your tax details — legal name, tax ID and address — must be complete and up to date. Without them a charge cannot be executed.

12. Governing law

This Policy is governed by:

• the law of the State of New Mexico, USA, as regards RIBIETC LLC
• Spanish and European Union tax regulation as regards invoicing and VAT for clients established in Spain

Disputes will be addressed in good faith before any other route is taken. If that is not possible:

• the courts of the client's domicile will have jurisdiction where the client is a consumer
• in all other cases, those designated by the applicable law

ViDope not exercising a right under this Policy at a given moment does not amount to waiving it later.
