VIDOPE – GENERAL TERMS AND CONDITIONS OF SERVICE

Welcome to ViDope ("the Platform"), operated by RIBIETC LLC, a limited liability company registered in the State of New Mexico, United States ("the Company", "we", "us", "our").

By accessing or using ViDope, you agree to these Terms and Conditions ("Terms"). If you do not agree, you must stop using the Platform.

1. Nature of the Platform

ViDope is a digital marketplace connecting:

• Clients, who purchase promotional insertions inside YouTube, Instagram, or TikTok content ("Services"), and
• Creators, who execute those Services on their channels.

ViDope acts solely as an intermediary:

• We do not employ Creators
• We do not own or control external content
• We do not guarantee visibility, ranking, engagement, or permanence on third-party platforms

All Services remain subject to the rules and moderation decisions of YouTube, Instagram, TikTok, and other external platforms.

1.4 User Representations regarding Account Ownership

Users must not register accounts or connect channels they do not own or control. ViDope assumes no responsibility for disputes regarding channel ownership, impersonation, or unauthorized account use. All liability rests solely with the user who registered the account.

2. Platform Workflow

2.1 Clients may:

• Purchase Tokens
• Submit collaboration requests
• Select Creators
• Renew Services monthly
• Manage projects from their dashboard

2.2 Creators may:

• Enable or disable availability
• Accept or reject any request
• Execute the contracted Service
• Earn Tokens and convert earnings to USD/EUR via Stripe
• Maintain full ownership and control of their channels

ViDope does not edit, modify, or alter Creator content.

3. ViDope Tokens

ViDope uses internal digital credits ("Tokens") to purchase Services.

Tokens:

• are not real money
• are not redeemable for fiat
• are not cryptocurrency, electronic money, securities, or investment assets
• cannot be sold, transferred, or exchanged outside the Platform
• are non-refundable (except as described in Section 6)
• never expire
• must be spent inside ViDope

Important: Service prices may vary depending on the selected video, and the effective value of the Token may vary based on purchase packages, offers, or applied bonuses.

All Token purchases are final and processed through Stripe or an approved payment provider.

4. Prohibited Content

Users may not upload, submit, request, or distribute:

• sexual or explicit content
• violent, hateful, or extremist material
• political, ideological, or socially sensitive content
• fraudulent or misleading advertising
• content violating YouTube/Instagram/TikTok rules
• malware, viruses, or suspicious links
• illegal or regulated items (weapons, drugs, gambling, etc.)
• impersonation, deepfakes, or identity manipulation
• undisclosed advertising (e.g., missing #ad, #sponsored where required)

Violation may result in immediate suspension.

5. Responsibility for Third-Party Platforms

ViDope does not guarantee:

• permanency of content on external platforms
• algorithmic reach, ranking, or engagement
• channel safety, monetization, or absence of strikes
• commercial results (sales, traffic, conversions)
• protection against content removal, demonetization, or restrictions

If a platform removes or restricts content -> client risk. If a Creator voluntarily removes a placement -> Creator responsibility.

ViDope guarantees only the initial execution of the contracted Service.

6. Refund Policy

Refunds are issued only in Tokens, never in fiat currency.

Refunds apply exclusively when:

• the Creator fails to deliver the Service
• ViDope verifies Creator misconduct
• ViDope cancels a request for technical/operational reasons
• the Client cancels before the Creator accepts

Once a Creator accepts a request, it becomes non-refundable.

7. Communication Rules

All communication between Clients and Creators must occur exclusively inside ViDope.

External contact (email, DMs, social media) is strictly prohibited and may result in suspension.

8. Account Suspension

ViDope may suspend or terminate accounts for:

• malicious or harmful links
• fraud, scams, or abusive behavior
• attempts to bypass the Platform
• prohibited content
• chargebacks
• metric manipulation (bots, fake views, artificial engagement)
• repeated failure to follow briefs
• harassment or abusive conduct
• misuse of Tokens
• prolonged inactivity without using "offline mode"

Suspension decisions are final.

9. Account Deletion

Users may request account deletion at any time.

Conditions:

• Active Services must be completed
• Remaining Tokens are permanently lost upon deletion
• Accounts inactive for 12+ months may be removed after notice
• ViDope may retain necessary data for up to 7 years for financial and regulatory compliance

If the user returns before deletion is executed, Tokens remain available.

10. Advertising Compliance (FTC / EU / UK)

Creators must comply with:

• U.S. FTC disclosure rules (#ad, #sponsored)
• EU/UK ASA rules where applicable
• Platform disclosure policies (YouTube, Instagram, TikTok)

Clients are responsible for the legality of all promotional claims in their briefs.

11. DMCA Safe Harbor

ViDope complies with the Digital Millennium Copyright Act (DMCA).

For copyright notices, contact: legal@vidope.com

Notices must include:

• identification of copyrighted work
• URLs or locations of alleged infringement
• contact details
• a good-faith belief statement
• declaration under penalty of perjury

ViDope may remove content or suspend accounts upon valid DMCA claims.

12. Warranty Disclaimer

ViDope is provided "AS IS" and "AS AVAILABLE", without warranties of:

• uninterrupted operation
• accuracy or reliability
• suitability for any purpose
• performance on external platforms

Users assume all risks associated with using the Platform.

13. Limitation of Liability

To the maximum extent permitted by law:

• ViDope is not liable for indirect, incidental, punitive, or consequential damages
• ViDope is not responsible for external platform decisions
• ViDope's total liability shall not exceed:
• (a) USD $100
• (b) the amount paid to ViDope in the last 12 months

14. Indemnification

Users agree to indemnify and hold harmless RIBIETC LLC, its owners, employees, and partners from claims arising from:

• misuse of the Platform
• unlawful content
• violations of these Terms
• disclosure or advertising violations
• third-party claims tied to briefs or delivered content

15. Governing Law & Arbitration

These Terms are governed by the laws of New Mexico, USA.

All disputes shall be resolved by binding arbitration in New Mexico under the rules of the American Arbitration Association (AAA).

Users waive:

• the right to participate in class actions
• the right to litigate outside small-claims court

16. GDPR Notice (EU Users)

EU users have additional data rights described in our Privacy Policy.

17. Changes to These Terms

ViDope may update these Terms at any time.

Continued use of the Platform constitutes acceptance.

19. Entire Agreement

These Terms constitute the entire agreement between you and RIBIETC LLC regarding your use of the Platform and supersede any prior agreements, statements, or representations.
